Grant workflow

  1. Select the recipient (member or external party)
  2. Choose security type and quantity
  3. Set price per share and purchase date
  4. Attach a vesting schedule (optional)
  5. Generate the grant agreement — auto-populated from company data
  6. Send for e-signature (all parties receive email)
  7. Cap table updates automatically on execution

Vesting

HYVV supports flexible vesting for any grant.

Standard vesting

  • 4-year / 1-year cliff — 25% vests at month 12, remainder vests monthly over 36 months
  • Custom schedule — define cliff, total duration, and vesting frequency
  • Milestone-based — vesting tied to company or individual milestones

83(b) Elections

When a founder receives stock subject to vesting, they typically need to file an 83(b) election with the IRS within 30 days of the grant date to avoid paying income tax on future appreciation.

HYVV handles this automatically:

  1. Grant is issued with vesting attached
  2. HYVV detects the 83(b) election opportunity
  3. Pre-filled 83(b) form is generated from company + grant data
  4. Founder e-signs and receives a filing reminder with the 30-day deadline
  5. Confirmation stored in the company vault

Dilution Modeling

Before accepting any new investment, run a dilution simulation.

How to model a round

  1. Go to Cap Table → Model Round
  2. Enter the investment amount, pre-money valuation, and instrument type
  3. HYVV shows everyone's post-round ownership instantly
  4. Compare scenarios side-by-side (e.g., $2M at $8M vs $2M at $10M)
