Terms of use

By accessing or using the HYVV platform (“Service”), you agree to be bound by these Terms of Use. If you do not agree, you may not access or use the Service. These Terms apply to all visitors, users, and anyone who accesses the platform.

You must be at least 18 years old and legally capable of entering into binding agreements to use HYVV. By creating an account, you represent that the information you provide is accurate, complete, and current. You are responsible for maintaining the confidentiality of your credentials.

You may not use HYVV to engage in any unlawful activity, distribute malware, attempt unauthorized access to our systems, impersonate others, interfere with other users’ access to the Service, or transmit content that is defamatory, fraudulent, or infringes on intellectual property rights.

To access certain features of HYVV, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and complete.

You are solely responsible for safeguarding your account credentials and for any activity that occurs under your account. You must notify us immediately at team@hyvv.io if you suspect unauthorized use of your account.

HYVV provides a platform for company formation, ownership tracking, cap table management, revenue sharing automation, legal document generation, and portfolio oversight. Our platform integrates with third-party services including Stripe for payment processing.

HYVV is a technology platform — not a law firm, accounting firm, or financial advisor. Information and documents generated through HYVV are for informational purposes and should be reviewed by qualified professionals before reliance.

HYVV offers subscription plans (Founder, Operator and Scale) as well as professional services through Hyper Formation, as described on our Pricing page. Paid subscriptions are billed in advance on a monthly or annual basis. Prices are in US dollars and exclude applicable taxes.

You may upgrade, downgrade, or cancel your subscription at any time. Upgrades take effect immediately with prorated billing. Downgrades and cancellations take effect at the end of the current billing cycle. No refunds are provided for partial billing periods unless required by applicable law.

For Concierge engagements, HYVV commits to completing the work within its own control within ten (10) business days of the date you complete intake and provide all information and identity documentation reasonably required to proceed. That work comprises: preparing and submitting the entity formation filing, preparing and submitting the federal EIN application, drafting the founding documents included in your package, lodging the bank, payment processor and accounting applications, and provisioning the domain and workspace resources included in your package.

This commitment does not extend to the processing times of third parties, including state filing offices, the Internal Revenue Service, registered agents, financial institutions, payment processors and domain registrars. HYVV submits; those parties decide when they act. The ten-business-day period is suspended for any period during which HYVV is awaiting information, documentation or authorization from you.

If HYVV fails to meet this commitment, your sole and exclusive remedy is a refund of the HYVV service fee paid for that engagement. Fees paid to third parties — including state filing fees, registered agent fees, federal or state taxes, and vendor charges — are passed through to those parties, are not retained by HYVV, and are not refundable. To claim, contact HYVV within twelve (12) months of your engagement start date.

Nothing in this section limits any right you may have under applicable law that cannot be waived by agreement.

All content, trademarks, logos, software, and materials on HYVV are owned by or licensed to HYVV Technologies, Inc. You may not reproduce, distribute, modify, or create derivative works from any HYVV materials without our express written consent.

You retain ownership of all data, documents, and content you upload to or create through the platform. By using HYVV, you grant us a limited, non-exclusive license to process your content solely to provide the Service.

HYVV integrates with third-party services such as Stripe (for payment processing), state filing agencies, and banking partners. Your use of these integrations is subject to the respective third party’s terms and privacy policies. HYVV is not responsible for the availability, accuracy, or policies of any third-party service.

To the maximum extent permitted by applicable law, HYVV and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to HYVV in the twelve (12) months preceding the claim.

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. HYVV does not warrant that the Service will be uninterrupted, error-free, or secure.

We may suspend or terminate your access to HYVV at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will cease immediately. You may export your data prior to termination.

Provisions that by their nature should survive termination — including intellectual property, limitation of liability, and dispute resolution — shall survive.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), conducted in Wilmington, Delaware. You waive any right to participate in a class action lawsuit or class-wide arbitration.

We reserve the right to modify these Terms at any time. When we do, we will update the “Last updated” date on this page and, for material changes, notify you via email or an in-app notice. Your continued use of HYVV after changes are posted constitutes acceptance of the updated Terms.
